Governing Law and Jurisdiction

No waiver by Onyx of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Onyx to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Dispute Resolution; Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Onyx agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use or the Website (collectively, "Disputes") will be resolved exclusively through final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

The arbitration will be conducted by a single arbitrator in Alameda County, California, or at another mutually agreed location. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AND ONYX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

You may opt out of this arbitration agreement by sending written notice to privacy@onyx.bio within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of this arbitration agreement.

Force Majeure

Onyx shall not be liable for any failure or delay in performing its obligations under these Terms of Use where such failure or delay results from any cause beyond Onyx's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics or pandemics, strikes, telecommunications or internet failures, power outages, or any other event outside of Onyx's reasonable control.

Assignment

You may not assign, delegate, or transfer these Terms of Use or any of your rights or obligations hereunder without the prior written consent of Onyx. Onyx may freely assign, delegate, or transfer these Terms of Use or any of its rights or obligations hereunder without restriction. Any attempted assignment in violation of this section shall be null and void. These Terms of Use shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

Survival

The following sections shall survive any termination or expiration of these Terms of Use: Intellectual Property Rights, Submissions, Confidentiality, Disclaimer of Warranties, Limitation on Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution; Binding Arbitration, and any other provisions that by their nature should survive termination.
